INDEPENDENT NON-EXECUTIVE DIRECTOR

The Company is pleased to announce the appointment of Mr. Charl John Goncalves to the Board of Directors as an independent non-executive director with effect from September 1, 2021.

Charl is a Chartered Accountant registered with the South African Institute of Chartered Accountants. He completed his internships with Pricewaterhouse Coopers in Cape Town, South Africa. He then joined Old Mutual Limited and had a 20 year career with the Group holding positions within Internal Audit and as a Senior Finance Executive. During the last 5 years of his tenure at Old Mutual Limited, he was a member of the board of directors of a major subsidiary of the group, Old Mutual Finance. Charl was first CFO for two years and then became Managing Director for 3 years. He is currently Managing Director: Investment and Projects of Forbes Investment Holdings.

Mr. STAND WONDER NYABEREKA
INDEPENDENT NON-EXECUTIVE DIRECTOR

The Company is pleased to announce the appointment of Mr. Wonder Stan Nyabereka to the Board of Directors as an independent non-executive director with effect from June 1, 2022.

Wonder, who is currently Managing Director of Revival Technologies (Private) Limited, has worked in the financial services industry for thirty years, holding various positions at Barclays Bank PLC which for three years became First Capital Bank after acquiring the Zimbabwean franchise . of Barclays Bank PLC.

He spent most of his early years in the industry working in IT in a number of African, UK and Caribbean countries before becoming Chief Operating Officer of Barclays Bank of Zimbabwe in 2010. Most recently, he led the technology transformation of First Capital Bank where he was the executive responsible for the migration and change of all Barclays systems which were replaced with new systems put in place after the sale of the company.

Wonder helped structure national payment switcher, Zimswitch Technologies, as a member and current chairman of the board. At Zimswitch, he led the collaboration program that resulted in a partnership between Switch and Mastercard PLC. He also played a leading role in the negotiations with the Reserve Bank of Zimbabwe (RBZ) for the shareholding transaction of Zimswitch Technologies completed in July 2021. More so, under his leadership, SI80/2020 was enacted whereby Zimswitch has been officially named the National Payments Switch.
